5. SOFTWARE LICENSE

Unless expressly stated otherwise: All software, source code, SaaS platforms, scripts, APIs, mobile applications, designs, and digital products sold by Xion Digi are licensed, not sold.

You receive a non-exclusive, non-transferable, revocable license to use the product according to the purchased license type.

You may NOT:

• Redistribute source code
• Resell products without permission
• Claim ownership of our products
• Remove copyright notices
• Reverse engineer protected components
• Create competing commercial products based on our proprietary software

Violation may result in license termination and legal action.

6. MARKETPLACE PRODUCTS

For products purchased from marketplaces such as: CodeCanyon, Codester, AppSumo, Product Hunt, Gumroad, Paddle, Lemon Squeezy.

Additional marketplace-specific license terms may apply. In case of conflict, marketplace license terms shall prevail.

7. CLIENT PROJECTS

Project Scope

All work is limited to the approved proposal or agreement. Any additional feature requests may require: Additional fees, Timeline adjustments, New agreements.

Client Responsibilities

The client must provide: Content, Branding materials, Credentials, Feedback, Approvals.

Project delays caused by missing client requirements are not the responsibility of Xion Digi.

8. PAYMENT TERMS

By purchasing services, you agree to: Pay all fees in full, Pay applicable taxes where required, Complete milestone payments on time.

For custom projects: 50%-100% advance payment may be required. Work may be suspended for overdue invoices.

Late payments may incur additional administrative charges.

9. REFUND POLICY

Due to the digital nature of our products and services:

Non-Refundable Items:

• Source Codes
• Downloadable Products
• SaaS Subscriptions Already Used
• Custom Development Work
• Consulting Services
• Design Services

Refunds may only be considered when:

• Product delivery fails completely.
• Duplicate payment occurs.
• Legal obligations require a refund.

Refund approval remains solely at the discretion of Xion Digi.

10. SUBSCRIPTIONS

For SaaS products and recurring services, Subscriptions may: Renew automatically, Be cancelled at any time, Remain active until the end of the billing cycle.

Failure to pay subscription fees may result in: Service suspension, Account limitation, Data removal after retention periods.

11. INTELLECTUAL PROPERTY RIGHTS

All intellectual property belongs exclusively to Xion Digi unless otherwise agreed in writing.

Protected assets include: Software, Source Code, Logos, Branding, Graphics, UI Designs, Databases, Documentation, APIs, Articles, Website Content.

Unauthorized use may result in legal enforcement.

12. PROHIBITED ACTIVITIES

You may not: Hack or attack our systems, Upload malware, Distribute spam, Conduct illegal activities, Violate intellectual property rights, Scrape our content without permission, Abuse support services, Circumvent licensing systems.

We reserve the right to suspend or permanently terminate offending accounts.

13. THIRD-PARTY SERVICES

Our services may rely on third-party providers such as: Google, Meta, AWS, Cloudflare, Stripe, PayPal, Paddle, Lemon Squeezy, Hosting Providers.

We are not responsible for: Service interruptions, API changes, Pricing changes, Policy changes, Downtime caused by third parties.

14. DATA SECURITY

We implement commercially reasonable security measures. However, no online system can guarantee 100% security.

You acknowledge that: Internet transmissions are inherently risky. Data breaches may occur despite safeguards. We cannot guarantee uninterrupted security.

15. DISCLAIMER OF WARRANTIES

All services are provided "AS IS" and "AS AVAILABLE".

Xion Digi makes no guarantees regarding: Revenue generation, Business success, SEO rankings, Marketing outcomes, Compatibility with all devices, Continuous uptime.

Your use of our services is at your own risk.

16. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Xion Digi shall not be liable for: Lost profits, Lost revenue, Lost business opportunities, Data loss, Service interruptions, Indirect damages, Consequential damages.

Our total liability shall never exceed the amount paid by you for the affected service during the previous 12 months.

17. INDEMNIFICATION

You agree to indemnify and hold harmless Xion Digi, its employees, partners, contractors, and affiliates from any claims, damages, liabilities, or expenses arising from: Your misuse of services, Violation of these Terms, Violation of applicable laws, Intellectual property infringement.

18. TERMINATION

We may suspend or terminate access without prior notice if: Terms are violated, Fraudulent activity is detected, Abuse occurs, Payments remain overdue.

Termination does not remove your obligation to pay outstanding balances.

19. FORCE MAJEURE

Xion Digi shall not be liable for delays or failures caused by circumstances beyond reasonable control, including: Natural disasters, Government actions, Internet outages, Cyber attacks, Pandemics, Labor disputes, Power failures.

20. GOVERNING LAW

These Terms shall be governed by and interpreted according to the laws of Bangladesh.

Any disputes shall be subject to the exclusive jurisdiction of the courts located in Dhaka, Bangladesh.

21. CHANGES TO TERMS

We reserve the right to modify these Terms at any time. Updated versions will be posted on our website.

Continued use of our services constitutes acceptance of revised Terms.
